Sr. Associate General Counsel
Senior level subject matter or general business legal professional responsible for negotiating complex contracts and advising the businesses served within the Americas region (particularly the U.S.) on legal matters involving a specific area(s) of law such as real estate, customer (CSI or any other area) and procurement contracts, eCommerce, and a wide variety of commercial transactions. Responsible for defining and recommending legal strategies and objectives designed to mitigate the organization's legal exposure in areas of responsibility. Works with manager to establish best in class legal processes and procedures to assure business objectives are met and legal risks are identified and mitigated. The successful candidate will:
(a) Be well-versed in the drafting and negotiating of real estate documents, such as leases, purchase agreements, amendments, license agreements, termination agreements, estoppels, non-disturbance agreements, non-disclosure agreements, consents and notices, and the ancillary documents and due diligence related to same;
(b) Be experienced in the area of corporate secretarial matters, including: draft and file business entity documents, company formation and handle of entity qualification documents, including a variety of inter-company transactions; oversee and/or prepare resolutions and consents relating to corporate maintenance; perform due diligence related to company transactions, including but not limited to acquisitions, mergers and restructures; and prepare transaction closing documents and binders, as well as all ancillary documentation;
(c) Advise business on legal trends, developing areas of law and related risks associated with DPDHL's operations in areas of responsibility.
(d) Review legal analyses and technical reports. Make recommendations to senior management on how to respond to legal issues or proposed changes in laws and regulations.
(d) Review and approve legal contracts, letters of agreement, and other documents related to a variety of trade, commercial, financial, and operational matters (e.g., loans, leases, purchase agreements, acquisitions, divestitures, employment contracts) to protect the organization's legal and business interests. Possess advanced and well-developed skills and knowledge within the contracts/transactions area with the ability to integrate theory and principals with DHL's practices, policies and precedents.
(e) Manage legal staff whose responsibilities include legal support for multiple DHL entities in the Caribbean region. Serve as escalation and resolution Legal point of contact as necessary for legal issues in the Caribbean region. In that regard, work closely with and support DHL’s management teams, colleagues of other regions, the compliance department and all other departments (finance, HR, sales, etc.).
(f) Design and implement legal risk mitigation strategies in own areas of responsibility.
(g) Work with supervisor to manage all aspects of internal and external legal spend in areas of responsibility.
(h) Manage one or more members of legal team providing services in referenced areas of responsibility, providing career growth opportunities depending on performance and management/leadership skills.Participate in attracting, recruiting and managing others and support staff.
(i) Assist with budget preparation for legal function in areas of responsibility, as requested.
Skills and Qualifications:
- B.A. (from an accredited college or university)
- J.D. (from an accredited law school)
- U.S. licensed attorney in good standing
- Solid understanding of DPDHL's business operations; goals and strategies in areas of responsibility
- Knowledge of practices associated with corporate law, litigation, international law, regulatory law, transportation law, and contract law
- Experience in interacting with state and federal regulators
- Strong analytical, communication, negotiation, presentation, leadership and strategic decision making skills
- Must have contracts experience and full knowledge of customer contracts terminology
- Proficiency in MS Office and database systems
- Detail oriented, capable of handling heavy, multi-layered client, and be extremely responsive to tight turn around schedules for many transactions in various stages of development
- 15 years of legal practice either within commercial law firm or in house legal department
- Excellent communication and writing skills
